Terms and conditions

1. Definitions

  • Contractor: We Do Better
  • Client: the party entering into an agreement with the contractor
  • Agreement: the contract for services between the parties
  • Work: all services and products delivered by the contractor

2. Applicability

These terms apply to all quotations, agreements and work carried out by We Do Better, unless agreed otherwise in writing.

3. Quotations and prices

  • Quotations are valid for 30 days.
  • All prices are exclusive of VAT.
  • Additional work is carried out at the applicable hourly rate, and only after the client has approved it.

4. Carrying out the assignment

  • The contractor carries out the assignment to the best of its knowledge and ability.
  • The client provides all necessary information and materials on time.
  • Delays caused by the client may lead to a revised schedule.

5. Delivery and revisions

  • The rounds of revision stated in the quotation are included; further revisions count as additional work.
  • Delivery dates are agreed together.

6. Payment

  • The full assignment is invoiced in 3 parts: 40% at the start, 40% on delivery of the first concept and 20% on final delivery.
  • Invoices must be paid within 14 days.
  • If this period is exceeded, the client is in default and statutory interest may be charged.
  • The contractor may suspend work in the event of late payment.

7. Intellectual property

  • All rights remain with the contractor until payment has been made in full.
  • After payment, the client receives a non-exclusive, unlimited right of use.
  • The contractor may use the work for its portfolio, social media and new business.

8. Liability

Liability is limited to the invoice amount of the assignment in question.

The contractor is not liable for damage caused by:

  • incorrect content supplied by the client
  • external plug-ins, tools or hosting parties
  • changes made to the website by third parties

Indirect damage (lost profits, consequential damage) is excluded.

9. Warranty

  • Bugs reported within 30 days of go-live are fixed free of charge.
  • The warranty lapses if changes are made by third parties.

10. Term and termination

  • An agreement ends when all work has been delivered and paid for.
  • Cancellation by the client gives no right to a refund of work already carried out.

11. Confidentiality

The parties treat all confidential information as strictly confidential.

12. Governing law

These terms are governed by Dutch law. Disputes are submitted to the Rotterdam District Court.
